WHITE PAPERVALUATION FRAMEWORK / 02

Valuing a Business Without a Quoted Price

How to use comparable companies, discounted cash flows and scenario analysis without mistaking an estimate for an executable market price.

A closer look at the evidence, the assumptions and the questions that matter beyond a headline number.
SECTION 01

Start with definitions, not multiples

Enterprise value and equity value are not interchangeable. Nor are a company's accounting profit and the cash available after reinvestment. Before choosing a multiple or cash-flow model, document the reporting period, debt, cash, capital structure, share classes and adjustments required.

The quality of an input matters as much as the algebra. Missing debt schedules, unreviewed related-party balances or an uncertain share count can make a precise per-share output inappropriate.

SECTION 02

The limits of listed peers

Comparable businesses rarely have identical growth, margin structure, disclosure depth or capital requirements. Listed peers also operate with observable trading and liquidity that a particular private security may not have. Simple multiple transfers ignore these distinctions.

Peer analysis becomes more useful when it explains why each company is comparable, identifies the mismatches and shows a range of outcomes rather than one selected headline figure.

SECTION 03

Model more than the central case

Scenario work helps expose the financial assumptions that matter most. Revenue growth, operating cash margin, reinvestment needs, discount rate and terminal assumptions can produce materially different estimates even when the company narrative remains unchanged.

A downside scenario is not a forecast of a market price, and an upside scenario is not a promise of return. Both are analytical tools designed to reveal sensitivity.

SECTION 04

Value is not a route to liquidity

An internal valuation does not establish that a buyer is available or that shares may be transferred. Legal rights, company approvals, restrictions, securities class and the practical availability of a counterparty must be assessed independently.

For this reason, a responsible private-market report has separate sections for analytical value, evidence quality and transferability.

RESEARCH QUESTIONS TO TAKE AWAY

Questions worth asking.

  1. Which valuation method is appropriate?
  2. How sensitive is the estimate?
  3. Does liquidity change the interpretation?
